Zephyr Affiliate Program – Terms & Conditions

These Terms & Conditions (“Agreement”) govern participation in the Zephyr Affiliate Program (“Program”) operated by Icarus P&T Ltd, registered in the Republic of Ireland (“Company”, “we”, “our”, or “us”).
By joining and participating in the Program, you (“Affiliate”, “you”) agree to be bound by this Agreement.
1. Enrollment
To apply for the Program, you must submit an application through our affiliate registration page. We reserve the right to accept or reject any application at our sole discretion, with or without cause.
2. Commission Structure

Affiliates earn a fixed commission equivalent to 10% of the product’s net value (VAT excluded).

As of the current retail price, this equals €13.25 per sale, but the amount may vary if product pricing changes.

Commissions are calculated on the net sale price (excluding VAT, shipping, and discounts).

Commissions are earned only for valid, completed sales generated through your unique affiliate tracking link.
3. Cookie Duration
Affiliate referrals are tracked via cookies with a 30-day validity period.
If a customer purchases within 30 days of clicking your referral link, the sale will be attributed to you.
4. Payout Terms

Minimum payout threshold: €30.

Payment methods: PayPal or bank transfer.

Payment schedule: Monthly, following a 14-day waiting period after each sale to allow for our 14-day return and refund policy.

Payments will be processed only for confirmed, non-refunded orders.

Any commissions under the €30 threshold will roll over to the next month.
5. Refunds and Chargebacks
If a customer cancels or returns a product within the 14-day return window, the related commission will be voided or deducted from future payments.
6. Promotional Guidelines
Allowed Promotion Methods
Affiliates may promote Zephyr Stove Fans through:

Blogs or websites with relevant content

YouTube videos and reviews
-
Social media channels
-
Email newsletters (to opted-in subscribers)
Prohibited Promotion Methods
The following activities are strictly prohibited:

Brand bidding: purchasing ads or keywords containing “Zephyr,” “Zephyr Stove Fan,” “Icarus P&T,” or similar brand terms.

Spam: unsolicited email marketing, comment spam, or bulk messaging.

Misleading content: false claims about product performance, warranty, pricing, or affiliation.

Impersonation: pretending to represent Zephyr or operating as an official distributor.

Unauthorized use of materials: altering or misusing our brand assets without permission.
Violations may result in immediate termination and forfeiture of pending commissions.
7. Geographic Restrictions
The Zephyr Affiliate Program is open worldwide, except for Russia and Belarus.
Affiliates must not target or sell to customers located in these countries.
8. Intellectual Property
We grant affiliates a limited, non-exclusive, revocable right to use our brand name, product images, and promotional materials solely for promoting Zephyr Stove Fans.
You may not modify our trademarks or use them in a misleading or defamatory manner.
9. Relationship of the Parties
Affiliates are independent contractors. Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship between you and Icarus P&T Ltd.
10. Termination
Either party may terminate this Agreement at any time, with or without cause, by providing written notice.
Upon termination, all rights to use our materials and affiliate links must cease, and unpaid commissions below the minimum threshold may be forfeited if due to violation of these terms.
11. Modification of Terms
We reserve the right to modify these Terms & Conditions or the Program structure at any time. Affiliates will be notified of significant changes via email or the affiliate dashboard. Continued participation constitutes acceptance of the updated terms.
12. Limitation of Liability
We are not liable for indirect, incidental, or consequential damages (including lost profits) arising in connection with the Program.
Our total liability under this Agreement shall not exceed the total commissions paid to the Affiliate in the preceding three (3) months.
13. Governing Law
This Agreement is governed by the laws of the Republic of Ireland, without regard to its conflict of law principles.
Any disputes shall be resolved exclusively in the courts of Ireland.
